Governance and Commitments

GOVERNANCE STRUCTURE AND BOARD LEADERSHIP
In keeping with NYSE standards, 10 independent directors—including a presiding director—and Chairman, President and Chief Executive Officer John E. McGlade, constitute the highest level of corporate governance for sustainability matters at Air Products.

The Board is divided into three classes, as nearly equal in number as possible, with staggered terms. One class is elected at the annual meeting each year, so shareowners elect approximately one-third of the directors for a term that usually expires at the third succeeding annual meeting. There are six standing committees that operate under written charters approved by the full Board. During fiscal 2008, Board and Committee meeting attendance averaged 98%.

SUSTAINABILITY COUNCIL
Air Products’ Sustainability Council includes senior executives and subject matter experts from Corporate Strategy; Environment, Health, Safety and Quality (EHS&Q); the Corporate Risk Office; Technology; Global Operations; Corporate Communications; Global Health and Wellness; the Greenhouse Gas Strategy Team; and the company’s Merchant, Tonnage and Electronics businesses. Chartered by and reporting to the CEO, the Council is accountable for working with the businesses to develop and operationalize the company’s sustainability strategy for growth, determine key footprints, and set appropriate targets in areas such as waste reduction and energy efficiency.
